A. Introduction of C3 PDAC & The C3 Project Screening Process
C3 created its Project Screening Process for its Project Development Screening Center (“PDAC”) in 2016. The C3 Project Screening Process was established to organize, vette, and prioritize incoming project proposals in an effective and efficient manner. PDAC was established to create the cross disciplined structure within C3 wherein the expertise of marketing, finance, operations and technology subject matter experts, along with any necessary other third parties, could be assembled into the PDAC Group. This PDAC group guides the screening process, vets each project and make the ultimate final decision as to whether to onboard a Project onto the C3 Project Board for execution pursuant to the Terms of Engagement between C3 and the Project Client.
B. The Project Screening Process
A general overview of the C3 Project Screening Process steps is as set forth below. Steps maybe added or deleted to fit the parameters of a project as each project is unique.
1. Quick Initial Check – a fast, preliminary screen of incoming project proposals from the originator; Determines if PDAC wants to pursue this potential project and identify if all the required project information has been delivered by the originator
2. Full project screen – detailed review of the information, detailed analysis of the details, timeline, financials, etc.
3. Physical On-Site Evaluation. The screening process could include a physical on-site evaluation by PDAC staff.
4. Submit to Chinese EPC company for Collaboration – When the project proposal meets the PDAC criteria, then it is approved and submitted to a Chinese Engineering, Procurement, and Construction (EPC) company for review and conditional collaboration
5. Additional Information. EPC could request additional information in which case the PDAC team secures this and delivers to the EPC.
C. Terms of Engagement between C3 and the Project Client.
When EPC agrees to project conditional collaboration, then the PDAC legal team, along with the Chinese Collaborating EPC legal staff, if necessary, negotiate the terms of engagement between C3 and the project client. Contracts could involve all of the following.
1. EPC design and construction contracts; as well as EPC Management company (EPCM) contract
2. Project financing contract with a financial institution
3. Project contract with the project owner or developer or authorizing government entity
PDAC informs the originator on proposals that are not accepted or for which terms of engagement cannot be agreed upon with the client. If the project survives the Project Screening Process by PDAC, the client will be so informed and a PDAC staff member will be assigned to oversee the agreed deliverables by C3 to the Project Client pursuant to the Contract Terms of Engagement.
D. Documents Required of Client to Start the PDAC Process.
In order for a project to enter the C3 Project Screening Process and be considered by the C3 PDAC Group, the prospective client must submit the following three (3) documents. If a client is not able or does not want to prepare the three documents, staff of C3 are available to do so on a fee for services basis. The three documents are as follows.
1. Business Project Abstract
2. Executive Summary
3. Client Ask
What is a Business Project Abstract (“BPA”)? A BPA is a brief concise descriptive explanation of the project with salient details as determined by the client. The BPA is a miniature version of a full project business plan and should clearly state the objectives sought by the client. The BPA should be no more than 2 pages single spaced and should grab the attention of the PDAC Group.
What is an Executive Summary(“ES”)? The ES is an expanded BPA usually found at the beginning of a complete project business plan with key elements such as business concept, mission, vision, market opportunities, offered products and services, summary of financial projections and noteworthy achievements or milestones. The ES should be no more than five (5) to ten (10) pages single spaced inclusive of any summary financial data and/or financial projections.
What is a Client Ask (“CA”)? The CA is a brief description of what the client envisions as the role of C3 in achieving the Client objectives as set forth in the BPA and ES. The CA should clearly state what functions the Client is asking C3 to perform. The CA will form the basis for discussion on the Terms of Engagement between C3 and Client which hopefully leads to an executed Consultant Agreement. The CA should be no more than one (1) page single spaced.
